Wedlake Bell Advises the Nomios Group on its Acquisition of Dionach, a Leading Oxford Based Cyber Security Consultancy

The Nomios group (headquartered in France) is a European cybersecurity services provider. This acquisition strengthens Nomios’ leading position in Europe, now with a team of over 800 professionals across seven European markets and annual revenue of c.€500m. The acquisition also enables Nomios to further expand its service offering through Dionach’s best-in-class penetration testing, cybersecurity audit, and compliance services.

Dionach is a provider of cyber security consultancy services primarily focussed in the UK with clients all over the world. Its services are broadly divided into the three main areas of assurance, compliance and response.

The acquisition was supported by Keensight Capital (“Keensight”), one of the leading private equity investors dedicated to pan-European Growth Buyout investments, who took a majority stake in Nomios in November 2023.

Alongside Wedlake Bell, Nomios’ advisers included Oyat (who provided French legal advice) and Alvarez and Marsal (who provided financial due diligence services).

Wedlake Bell’s specialist cross-departmental M&A team was led by Partner, Mark Tasker, and included Senior Associate Tom Boersma and Solicitor Enea Aniaj. In addition, Gemma Williams advised on corporate tax, Choy Lau on employment, Maya de Silva on IP and commercial law and Grainne McCourt on real estate.

This transaction further underlines Wedlake Bell’s experience and expertise in both the technology sector and in PE-backed transactions
