We work closely with our corporate and commercial colleagues to ensure that the employment aspects involved in corporate transactions and commercial agreements are handled efficiently and tie in with the wider objectives of a deal.
We support our clients by undertaking effective due diligence, managing the employment aspects of commercial agreements including drafting and negotiating robust warranties and indemnities.
In commercial outsourcing situations we help structure the commercial terms so as to mitigate the risks created by the minefield of TUPE. We aim to protect our clients’ interests when entering into and existing these arrangements – advising on the “front end” and “back end” protections that our clients need.
We can also assist with complex contractual documentation – be that service agreements for senior executives, non-executive appointment letters or remuneration structures.
