Zainab Agha

Zainab is a solicitor in the Commercial Disputes team.

Zainab acts for UK-based and international clients, including companies, directors, shareholders and high net worth individuals, in high-value commercial disputes before the High Court and County Court. Her practice spans a broad range of matters, including breach of contract claims, shareholder disputes, breaches of directors’ duties, misrepresentation, civil fraud, asset recovery and enforcement. She has experience obtaining urgent and interim relief, including without notice freezing injunctions in the High Court. She also advises clients in arbitration proceedings, including arbitrations conducted under the ICC Rules.

Zainab also advises on contentious insolvency matters, acting for insolvency practitioners and creditors in both personal and corporate insolvencies. She regularly acts for liquidators, administrators and trustees in bankruptcy on a wide range of applications under the Insolvency Act 1986 and advises on matters relating to antecedent transactions, misfeasance, breach of duty and the exercise of officeholders’ investigatory and information gathering powers. She also works with officeholders to trace and recover assets, helping to maximise returns to creditors.

• Acting for a major international airline in High Court proceedings arising from a significant breach of contract dispute.
• Acting for an overseas entity in ICC arbitration proceedings concerning allegations of breach of contractual good faith obligations under a shareholders’ agreement.
• Acting for liquidators in a multi-million pound umbrella payroll fraud claim, and obtaining an urgent without notice freezing injunction in the High Court against the assets of company directors to prevent the dissipation of assets.
• Advising a purchaser on breach of warranty claims arising under a share purchase agreement following the acquisition of a target company.
• Acting for the Claimant in a fraudulent breach of contract claim in the DIFC court.
• Advising overseas companies in a shareholder dispute concerning the dilution of their minority shareholdings.
