Maya is a solicitor in the Intellectual Property and Commercial team. She advises on general commercial, intellectual property and data protection matters, and provides commercial, client-focused advice and recommendations. She advises clients in a range of sectors, including retail, healthcare, technology, art and luxury, logistics, consumer goods and property.

She regularly reviews, drafts and negotiates documents, including master services agreements, software as a service agreements, terms and conditions, non-disclosure agreements, property management agreements, and intellectual property (IP) and trade mark assignments.

She also assists clients with data protection clauses in contractual documents, privacy policies and data protection compliance. Maya works with the Corporate and Real Estate teams on cross-team transactions.

  • Drafting and negotiating multiple software as a service (SaaS) agreements for a start-up client in matters that involved taking a commercial approach and progressing deals against tight deadlines.
  • Drafting and advising clients on concession, collaboration, licensing and supply chain agreements, including advising on how the clients’ brands and IP could best be protected.
  • Assisting Corporate and Real Estate teams on cross-team deals, including the sale of FM Conway (a leading construction and public works provider with annual revenue of £580m). This included working with internal and external stakeholders to progress the commercial, IP, IT and data protection workstreams, drafting documentation and negotiating with counterparties.
  • Providing guidance on cybersecurity and information security measures (for example, in light of data breaches and Information Commissioner’s Office (ICO) investigations) in the context of acting for clients who are acquiring companies with technology and IT contracts. This guidance and advice included considering the strength of the target companies’ intellectual property, potential problems and providing recommendations to address problems (including drafting warranties and indemnities in the sale and purchase agreements).
  • Reviewing and drafting non-disclosure agreements and considering appropriate measures to protect confidential information relating to technology.
  • Assisting clients with reviewing and drafting privacy notices and data protection documents.

Maya has completed the AI University Foundations course run by the University of Oxford LawTech Programme, which included understanding the fundamental principles and regulatory landscape of AI, identifying the challenges and opportunities of AI and gaining the ability to assist clients.
