International Capabilities

  • We advised a Barbadian trust company on the restructuring of a series of Guernsey family trusts established by a prominent international business founder, addressing complex governance issues relating to the underlying €3.5 bn asset management company and providing strategic advice on trustee duties and dispute avoidance.
  • We supported a US/UK couple with significant transatlantic wealth in establishing UK resident trusts and preparing bespoke wills, ensuring their UK-resident children and grandchildren would benefit from tax-efficient succession planning, while also coordinating with US advisers to maintain compliance with both jurisdictions.
  • Acting for the UK holding companies of a Brazilian iron ore mine in Bahia, Brazil bringing a forum challenge in a claim issued in the UK High Court by 103 Brazilian claimants alleging loss suffered as a result of the operation of the mine. There is an ongoing permission to appeal application in the Court of Appeal.
  • Advising Nomios, a European cybersecurity services provider, on its private equity-backed acquisition of Dionach, a UK cyber security consultancy.
  • Advising IJM, one of Malaysia’s leading conglomerates and listed on the Main Market of Bursa Malaysia Securities Berhad with a market capitalisation of £2bn, in relation to its acquisition of 50% of the share capital of JRL Group, a privately owned, UK-based diversified construction group, for £50m. This strategic investment furthers IJM’s expansion into the United Kingdom and strengthens its core construction capabilities.
  • Acting for IJM in relation to its acquisition of a Dutch special purpose vehicle which owns the Grade II listed landmark 25 Finsbury Circus building, a circa 250,000 sq ft property in the City of London with planning permission for a £150m redevelopment from TPG Angelo Gordon, the global alternative investment manager. Following redevelopment, the asset is expected to be worth £380m.
  • Advising Rhino Resources in relation to its exciting exploration campaigns in both Namibia and South Africa, including the successful farm in of a one half interest in its Namibian block to Azule Energy.
  • Acting as lead legal counsel advising the shareholders of European chemical and solvent suppliers, the Solventis Group, on its cross-border acquisition by global market leader in chemicals and ingredients distribution, Brenntag.
  • Advised the Marvesting group (headquartered in France) on its acquisition of Stellar Global Holdings Ltd.
